The extended deadline<\/a> for calling federal annual general meetings (AGMs) and presenting financial statements ended as of December 31, 2020.<\/p>\n\n\n\n

As of January 1, 2021, the normal rules apply for calling AGMs and presenting financial statements. That means AGMs must be called<\/a> within 15 months of the previous AGM<\/a> and no more than 6 months after the last financial year-end<\/a>.<\/p>\n\n\n\n

But no sooner are we back to \u201cnormal rules,\u201d than Corporations Canada reminds us that \u201chosting an in-person AGM \u2026 would contradict public health advice.\u201d This means we need to look at the AGM options Corporations Canada recommended during 2020. What are those options?<\/p>\n\n\n\n

First, you could delay your AGM.<\/h2>\n\n\n\n

But isn\u2019t this what happened last year too? What\u2019s the difference for 2021? There is no default<\/em> extension like there was in 2020, when the extension ran from March 13, 2020 \u2013 December 31, 2020.<\/p>\n\n\n\n

Now, charities must apply<\/a> for permission to delay, either online<\/a> or by email to IC.corporationscanada.IC@canada.ca<\/a> at least 30 days<\/strong> before the AGM notice would normally be sent.<\/p>\n\n\n\n

Second, you couldhave a virtual AGM.<\/h2>\n\n\n\n

Always look at your bylaws to see if they permit, prohibit or are silent on virtual meetings.<\/p>\n\n\n\n
